Acceptance of Terms

By subscribing to and using our SaaS (Systems as a Service) marketing platform, you agree to these terms and conditions. If you don't agree, please don't use the platform. When you subscribe, you're giving us permission to charge your card for this and all future payments according to these terms.

Scope of Service

proVEN Digital Systems will provide you with access to our SaaS marketing platform. You're responsible for managing your system and the data in it. We'll help you get started with initial training and offer ongoing support during normal business hours.

Specific features or functionality will vary based on your specific subscription plan. Please refer to the Business Agreement provided upon initial subscription to identify specific features and functionality included in your subscription.

You are responsible for managing and maintaining your own system and any data stored within it. proVEN Digital Systems will provide initial training during onboarding, and will also be available for support during normal business hours.

If you wish to have your system fully managed by proVEN Digital Systems, we offer the Business Auto-Pilot system.

Subscription and Payments

A valid credit card must be kept on file for billing purposes.

We charge you a monthly subscription fee for using our platform, which we automatically bill to your credit card. You can cancel any time; there's no long-term commitment. However, we don't refund the first three months' service if you cancel before 90 days have passed.

For businesses operating multiple locations, it is important to note that each location will be subject to its own individual subscription fee. This means that the monthly subscription fee will be multiplied by the number of locations in use. Each location will have access to all features and functionality offered by our SaaS platform. Furthermore, you will have the capability to manage and oversee all locations through a centralized dashboard. If you have any questions or require clarification regarding pricing for multiple locations, please contact our sales team for further assistance.

Additional Charges

You will be responsible for paying any additional charges incurred for the use of the platform's phone system, SMS messaging, and email capabilities. These charges will be billed separately and directly to your credit card, and will include the following:

• Calls, SMS, and Emails: We charge these at variable rates. We'll let you know the exact rates before you incur any charges.

• Yext: This is an additional $70/month on top of the monthly subscription. It requires a minimum 3-month commitment.

• WordPress websites & hosting: Prices start at $14.99/month and go up from there.

• Premium workflow triggers & actions, Email verification, Content AI, Workflow AI, Conversation AI: We'll notify you of any charges for these features.

Payment Reminders and Service Interruptions

If we don't receive your monthly subscription payment by the due date, we'll send you a reminder.

If we don't receive payment within a 3-day grace period, your access to the platform will be temporarily suspended until payment is received.

proVEN Digital Systems reserves the right to interrupt service in the event of non-payment. If you have any questions or issues with payment, please contact us at info@provendigitalsystems.com for assistance.

Service Availability

proVEN Digital Systems will make every effort to ensure the availability of the SaaS marketing platform, but does not guarantee 100% uptime. proVEN Digital Systems will not be liable for any downtime or disruption of service.

Training and Support

proVEN Digital Systems will provide initial training to help you start using our platform. We also provide ongoing support during normal business hours. With our white-glove service approach, you'll have a dedicated customer success manager who you can reach out to for help.

Modification of Service

proVEN Digital Systems reserves the right to modify the features and functionality of the SaaS marketing platform at any time. Any modifications will be effective immediately upon posting on our website or via email notification to you. Your continued use of the platform after such modifications will constitute acceptance of the modifications.

You may upgrade or downgrade your subscription plan at any time without any fees or penalties. Any changes to your subscription plan will be effective immediately upon notification to proVEN Digital Systems. Please note that any downgrade in subscription plan may result in the loss of certain features or functionality.

Confidentiality

proVEN Digital Systems and you agree to keep all confidential information, including but not limited to business plans, financial information, and customer data, strictly confidential.

Termination

Either party may terminate this agreement at any time, with or without cause, by providing 30 days' written notice. We don't charge any fees for termination - however implementation fees are non-refundable.

If you've paid for a full-year service, we'll refund any remaining months at a prorated rate based on the price you paid.

If you cancel before 90 days have passed, we won't refund the first three months' service.

Upon termination, you will no longer have access to the SaaS marketing platform, and any outstanding charges will be immediately due and payable.

Governing Law

These terms and conditions and any disputes arising from them will be governed by the laws of the state of Texas.

Entire Agreement

These terms and conditions constitute the entire agreement between proVEN Digital Systems and you, and supersedes any prior agreements or understandings, whether written or oral. Any changes to these terms and conditions must be made in writing and signed by both parties.

Severability

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. We can change these terms to comply with laws without affecting the rest of the agreement.
